Terms and Conditions of Use
Caution- You should carefully read the following.
These terms and conditions of use shown here ("Terms and Conditions") set forth the terms between Renesas Electronics Corporation ("Company") and you ("User"), a user of [MCU Simulator Online] ("Service") which is provided by Company. Only if User agrees these Terms and Conditions, such User can use the Service. By clicking "Agree" button, you are deemed to agree to use the Service in accordance with and be legally bound by these Terms and Conditions. If you do not agree to these Terms and Conditions, you should click "Disagree" button.
I. Purpose of Use
- The Service is intended to be used for evaluation of the Company's products (the "Purpose"). User shall not use the Service except for the Purpose.
II. Responsibilities of User
- 1. For using the Service, Company recommends the following system environments:

User may not use the Service or experience improper performance of the Service, depending on the browser settings or the use under a different system environment.
- 2. User shall not engage in any of acts set forth below when using the Service.
- (1) Acts that violate or are likely to violate laws or regulations, or are against public order or morals;
- (2) Acts that infringe or are likely to infringe third party's property or rights;
- (3) Acts that interfere with smooth operation of the Service by Company;
- (4) Acts that modify, disassemble, decompile or reverse engineer or create derivative works of the programs relating to the Service;
- (5) Acts of unauthorized access or that attempt for such unauthorized access to Company's networks, systems, or any other equipment related to the Service; or
- (6) Other activities that are deemed to be inappropriate by Company.
- 3. User shall observe all applicable laws, regulations and rules relating to the export, re-export or transfer of technical information, and shall not export, re-export nor transfer any technical information relating to the Service hereunder and the product resulting from such technical information in violation of such applicable laws, regulations and rules, including, but not limited to, those of Japan and relevant countries.
- 4. User represents and warrants that User, its employees, directors or officers do not belong to, or be otherwise involved in, organized crime groups, racketeers or any other entity related to organized crime group ("Anti-Social Forces") or (b) provide funds, or provide services, to any Anti-Social Forces.
- 5. User shall use the Service at its own risk and shall bear all liability and responsibility for its actions and their results upon the Service. In case where Company, other Service users and/or any third parties have suffered loss/damage directly or indirectly (including but not limited to cases where Company has been sued for damages by a third party) due to User violating applicable laws or the Terms and Conditions while using the Service, User shall immediately compensate the loss and damage incurred by Company, other Service users, and/or any third parties.
III. Management of Data
- 1. Company will use commercially reasonable efforts to manage the data which is stored in the cloud environment by using the Service by User (the "Data") to prevent such data from leakage, loss or damages (the "Leakage").
- 2. Notwithstanding the foregoing, User shall store backup copies of the Data which User believes important on User's own responsibility. Company shall not be liable or responsible for any damages or loss incurred by User or any third party in relation to the Leakage if such Leakage is caused despite the Company's proper management described in the foregoing paragraph. Company may delete Use's Data in case where User has not accessed the Service for 90 days from the last access.
IV. Discontinuance of Use
- 1. In case where User is in breach of Article 1 and Article 2 hereof, Company may discontinue the use of the Service by such User.
- 2. Company shall not be liable or responsible for any damages or loss incurred by User or any third party in relation to the discontinuance of use described in the foregoing paragraph.
V. Ownership
- Any title, interest or intellectual property rights, including but not limited to, copyrights, trademarks and patents, relating to Service, shall remain an exclusive property of Company and/or licensor(s) of Company. User shall not acquire or own any rights or title in the Services by provision of Services by Company.
VI. Maintenance
- 1. Company may conduct a maintenance service for the Service for smooth operation of the Service. For the maintenance, Company may stop offering the Service temporarily or change the contents of the Service without any prior notice to User.
- 2. Company does not warrant all of the bugs or errors of the Service will be fixed or corrected through such maintenance service.
- 3. Company shall not be liable or responsible for any damages or loss incurred by User or any third party in relation to the stop or change of the Service described in Article V.1.
VII. Termination
- 1. Company may suspend, terminate or change all or a part of the Service at any time without any prior notice to User.
- 2. Company shall not be liable or responsible for any damages or loss incurred by User or any third party in relation to the suspension, termination or change of the Service described in foregoing paragraph.
VIII. Disclaimer
- COMPANY MAKES NO REPRESENTATION OR WARRANTY, EXPRESSLY OR IMPLIEDLY, IN WHOLE OR IN PART WITH RESPECT TO THE SERVICE, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, OR WARRANTY THAT THE USE OF SERVICE WILL NOT INFRINGE ANY PATENT, COPYRIGHT OR OTHER INTELLECTUAL PROPERTY RIGHTS OF THIRD PARTIES, OR WARRANTIES OF ACCURACY, INTEGRITY, OR RELIABILITY OF ALL THE INFORMATION WHICH OBTAINED FROM THE SERVICE. IN NO EVENT SHALL COMPANY AND/OR ITS LICENSORS BE LIABLE FOR ANY DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE SERVICE OR ANY CLAIM BY USERS OR ANY THIRD PARTY ON ACCOUNT OF, OR ARISING FROM THE USE OF THE SERVICE.
IX. Governing Law and Jurisdiction
- 1. These Terms and Conditions shall be governed by the laws of Japan, without giving effect to its conflict of laws provisions.
- 2. Any and all disputes, controversies or claims arising out of or relating to the Service between User and the Company shall be subject to the exclusive jurisdiction of the Tokyo District Court.
